("Services"). The "Veritysphere Pay Platform" or "Platform" is the property of and operated by Veritysphere Pay Private Limited, an Indian corporation, encompassing our website, mobile application, API, and
other properties. Your usage of these assets is contingent upon and governed by these Terms.
These Terms establish a legally binding agreement between you and Veritysphere Pay and are enforceable in
court. Any additional terms periodically introduced by Veritysphere Pay serve as supplements to these
Terms rather than replacements. In case of a conflict, these Terms take precedence over any other terms.
Throughout this document, "we" and "our" pertain to Veritysphere Pay, while "you" and "your" refer to the
Platform User. Both Veritysphere Pay and the User are collectively referred to as "Parties" and
individually as "Party."
Definitions and Terminology
Additional Terms: Examples include the Privacy Statement and Payment Partner Terms.
Applicable Law: Encompasses statutes, regulations, ordinances, rules, judgments, orders,
and other legal aspects.
Authority: Refers to any judicial, quasi-judicial, regulatory, or legislative body in
the region where Services are delivered.
Business Day: Any day other than a Saturday, Sunday, legal holiday, or days when banking
institutions are closed as per local regulations.
Card Payment Networks: Payment Systems associated with banks, non-banking financial
firms, or RBI recognized enterprises for issuing payment cards.
Dispute: Any claim made by the Customer regarding the Transaction.
Customer: An individual purchasing goods or services from a Merchant via the Merchant's
control panel.
Veritysphere Pay: Refers to the website located at the specified URL.
Veritysphere Pay Services: Encompasses services provided, including Platform access for
listing products, payment collection, and third-party integrations.
Merchant: A User who has signed up for the Services on the Platform.
Merchant Dashboard: The online storefront created by a Merchant on the Platform for
advertising goods and services.
Order: A request made by the Customer to obtain any good or service, with online or
offline payment, from the Merchant.
Payment Aggregation Services: A service enabling Merchants to accept payments using
various Payment Instruments without internal payment integration.
Payment Methods: Includes credit cards, debit cards, bank accounts, prepaid cards, UPI,
IMPS, and other methods developed or added by Facility Providers.
Person: An individual, business, government, political subdivision, agency, trust,
joint-stock company, bank, or recognized entity.
Platform: Refers collectively to the Veritysphere Pay app and Veritysphere Pay Website.
Services: Encompasses both Payment Aggregation Services and Veritysphere Pay Services.
Transaction: Any Order where the Customer uses a Payment Instrument to pay the
Transaction Amount to the Merchant.
Transaction Amount: The total amount paid by theCustomer in a Transaction.
Account Security Measures
User accounts on Veritysphere Pay are identified by email, serving as access points to Veritysphere Pay
services. It is advised to choose a robust password to safeguard the account. Users are cautioned
against sharing passwords, and Veritysphere Pay will never request such sensitive information. In case of
suspected account compromise, immediate password change is recommended.
Comprehensive Services Overview
Veritysphere Pay Services:
(a) Veritysphere Pay provides a range of services, including listing services, logistics, payment services,
and access to educational platforms.
(b) Veritysphere Pay does not endorse or support goods and services listed on the Merchant Dashboard.
(c) Linking to Veritysphere Pay on other platforms requires prior approval, and any unauthorized link must
be removed promptly.
Payment Aggregation Services:
(a) Partnership with Payment Partner facilitates payments on the Platform, governed by Payment Partner
Terms.
(b) Transaction Amounts collected by the Payment Partner will be paid according to Payment Partner Terms.
(c) Inquiries or concerns about Payment Aggregation Services should be directed to veritysphereinnovationsprivate@gmail.com.
Access to Services:
(a) Features access may depend on the subscribed plan, with varying capabilities and fees.
(b) Subscription fees may be charged on a recurring basis for auto-renewal plans.
(c) Modifications to comply with Applicable Laws may impact Service access, and Veritysphere Pay is not
liable for such changes.
Third-Party Services:
(a) Third-Party Services within Veritysphere Pay may be owned or provided by third parties, subject to
their terms and conditions.
(b) Veritysphere Pay disclaims responsibility for the accuracy of Third-Party Services and their
warranties.
(c) Users using Third-Party Services are bound by their terms and conditions, and intellectual property
rights belong to the respective third parties.
Third-Party Sites, Goods, and Services
References or links to other websites or services ("Reference Sites") are provided for user convenience.
Veritysphere Pay does not endorse or support any Reference Sites, and user interactions with them are at
their own risk. Communications or transactions with Reference Sites are solely between the user and the
respective site.
Communication Policy
Users accept this agreement and acknowledge that Veritysphere Pay may send transactional or
non-transactional communications through SMS, Email, or Push notifications. Even when opting out of
marketing emails, users may still receive important transactional communications from Veritysphere Pay.
Secure Account Management
To access Veritysphere Pay Services, users must register on the Platform with a unique username and
password linked to their phone number and email address. Users are responsible for safeguarding their
account information, including any electronic devices connected to the same email or phone number. In
case of security breaches or unauthorized access, users must promptly notify Veritysphere Pay. Account
login details are confidential, and users are advised to avoid disclosure. Veritysphere Pay may disable
passwords or other identifiers if a user violates the Terms. Logging out before closing the browser is
recommended to prevent unauthorized access.
Users are fully responsible for all activities under their Account. If an Account is compromised,
Veritysphere Pay is not liable for unauthorized transactions, refund claims, or dispute requests made
through the Account. By using Services, users consent to receive communications related to Transactions,
Transaction Amounts, service information, promotional offers, and other relevant matters.
Prohibited Activities
Avoid participating in any form of cyberbullying, encompassing, but not limited to:
- Disseminating unsolicited commercial advertising or informational announcements via email (commonly
known as "junk mail" or "spam") to numerous network users, irrespective of the email's distribution
location.
- Sending identical messages to multiple newsgroups or mailing lists when the content is the same or
very similar.
- Habitually distributing posts to a newsgroup or mailing list that are irrelevant to its stated
purpose.
- Transmitting unsolicited commercial electronic mail (spam) to any conference or newsgroup unless
expressly approved by the group's charter.
- Violating laws related to spam email.
Engaging in any of the above activities is strictly prohibited.
Waiver of Rights
Any failure or delay by Veritysphere Pay to enforce a term or right under these Terms does not constitute a
waiver. Each right's exercise shall not waive others, and any waiver must be provided in writing and
signed by an official representative of Veritysphere Pay.
Disclaimer of Warranties
Veritysphere Pay and its affiliates shall not be held responsible for any damages, losses, or claims,
whether direct or indirect, arising from various causes. The website may contain links to third-party
sites, and users understand that Veritysphere Pay disclaims responsibility for content, products, or
services on such sites.
Indemnity
Users agree to defend Veritysphere Pay and its officers against claims, losses, or expenses resulting from
violations of laws or third-party rights, as well as breaches of these Terms.
Force Majeure
In the event of force majeure, Veritysphere Pay shall be excused from performance during the occurrence,
and such non-performance shall not be considered a breach or incur liability.
Governing Law
The Terms of Use are governed by the laws of India, with exclusive jurisdiction granted to the courts of
India.
Changes to Terms and Conditions
Terms may change at any time, and users will receive email alerts regarding such changes. Users have 10
days to approve or reject changes, and acceptance is assumed if they continue using the offering after
